Please read these Terms of Service carefully before using OrgsLedger. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and OrgsLedger.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the OrgsLedger platform, website, mobile applications, and related services (collectively, the "Service") operated by OrgsLedger ("OrgsLedger," "we," "us," or "our").

By clicking "I Agree," creating an account, or otherwise accessing or using the Service, you represent that: (a) you have read, understand, and agree to be bound by these Terms; (b) you are at least 18 years of age (or the age of majority in your jurisdiction); and (c) you have the authority to enter into this agreement on behalf of yourself or the organization you represent.

If you are accepting these Terms on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to "you" shall refer to that entity.

OrgsLedger is an AI-powered, cross-border organization management platform designed for associations, nonprofits, churches, alumni groups, international teams, and similar entities. The Service includes:

5. User Accounts and Registration

5.1 Account Creation

You must provide accurate, complete, and current information when creating an account. You agree to update your information promptly to keep it accurate and complete.

5.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your password. You agree to:

OrgsLedger will not be liable for any loss or damage arising from your failure to comply with these security obligations. You are responsible for all activity that occurs under your account.

5.3 Single Account Policy

Each person may maintain only one personal account unless expressly authorized by OrgsLedger. Creating multiple accounts to circumvent restrictions is prohibited.

6. Organization Accounts

6.1 Admin Responsibilities

Organization Admins are responsible for all activities within their Organization Account, including the conduct of their members. Admins must ensure that all members comply with these Terms.

6.2 Member Invitations

When you invite individuals to join your Organization Account, you represent that you have the authority to do so and that the invitees have consented to receive such invitations. You are responsible for the data entered on behalf of your members.

6.3 Data Within Organizations

Content and data uploaded or created within an Organization Account is associated with that Organization. Upon termination of the Organization Account, data handling will be governed by our Privacy Policy and any applicable Data Processing Agreement.

7. Acceptable Use Policy

7.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for legitimate organizational management activities.

You agree not to, and will not permit any third party to:

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

8. User Content

8.1 Ownership

You retain all ownership rights in the Content you submit, upload, or create through the Service ("User Content"). OrgsLedger does not claim ownership over your User Content.

8.2 License to OrgsLedger

By submitting User Content to the Service, you grant OrgsLedger a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, store, display, and transmit that Content solely to the extent necessary to provide and improve the Service. This license terminates when you delete your Content or close your account, subject to any backup retention periods described in our Privacy Policy.

8.3 Your Representations

You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe, misappropriate, or violate any third-party intellectual property rights, privacy rights, or any applicable law; and (c) your User Content does not contain any material that is illegal, harmful, or offensive.

8.4 Content Removal

We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable, without prior notice to you.

8.5 AI-Generated Content

Meeting transcripts, summaries, and action items generated by our AI features are based on your Content. While we strive for accuracy, AI-generated outputs may contain errors and should not be relied upon as the sole record of any meeting or decision.

9. AI-Powered Features

9.1 Meeting Transcription and Summaries

OrgsLedger uses third-party AI services, including Deepgram for real-time audio transcription, to provide automated meeting minutes and summaries. By enabling these features, you consent to the processing of audio from your meetings by OrgsLedger and its AI service providers.

9.2 Participant Notification

You are solely responsible for obtaining all necessary consents from meeting participants before enabling recording, transcription, or AI analysis features. You must clearly notify participants that AI tools are in use. Failure to obtain proper consent may violate applicable wiretapping, privacy, or data protection laws. OrgsLedger is not responsible for your failure to obtain required consents.

9.3 Real-Time Translation

Real-time language translation features are provided as a convenience tool. Translation accuracy may vary, and OrgsLedger does not guarantee the accuracy or completeness of any translation. You should not rely solely on AI translations for legally binding communications or decisions.

9.4 No Legal Advice

AI-generated content, including meeting summaries, financial analyses, and recommendations, does not constitute legal, financial, tax, or professional advice. You should consult qualified professionals for such matters.

10. Payments and Billing

10.1 Subscription Plans

OrgsLedger offers free and paid Subscription Plans. Paid plans provide access to additional features, higher usage limits, and priority support. Plan details, including pricing and included features, are available on our website at orgsledger.com/pricing.

10.2 Billing and Payment

By selecting a paid plan, you authorize OrgsLedger to charge your designated payment method on a recurring basis (monthly or annually, as selected). Payments are processed through our third-party payment processor and are subject to the payment processor's terms of service. All fees are stated in US Dollars unless otherwise specified.

10.3 Auto-Renewal

Paid subscriptions auto-renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting billing@orgsledger.com.

10.4 Fee Changes

We reserve the right to change our fees at any time. We will provide at least 30 days' advance notice of any fee changes before they take effect for existing subscribers. Continued use of the Service after a fee change constitutes acceptance of the new fees.

10.5 Refund Policy

Fees are generally non-refundable except where required by law. If you believe you were charged in error, contact us within 30 days of the charge at billing@orgsledger.com. We will review your request and, if appropriate, issue a credit or refund at our discretion.

10.6 Dues Collection

OrgsLedger may facilitate the collection of membership dues on behalf of Organizations. OrgsLedger acts solely as a platform facilitator; your Organization is solely responsible for the collection, use, and reporting of dues. We are not a money transmitter and do not hold or control funds collected on behalf of your Organization.

10.7 Taxes

Fees do not include taxes. You are responsible for all applicable taxes, levies, or duties imposed by any taxing authority in connection with your use of the Service, excluding taxes on OrgsLedger's income.

11. Intellectual Property

11.1 OrgsLedger Property

The Service and its original content (excluding User Content), features, functionality, design, software, algorithms, and underlying technology are and shall remain the exclusive property of OrgsLedger and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

11.2 Trademarks

The OrgsLedger name, logo, and all related product and service names, design marks, and slogans are trademarks of OrgsLedger. You may not use any OrgsLedger trademark without our prior written consent. All other trademarks, service marks, and logos used in connection with the Service are the trademarks of their respective owners.

11.3 License to Use the Service

Subject to your compliance with these Terms, OrgsLedger grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal organizational purposes as contemplated by these Terms.

11.4 Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant OrgsLedger a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback in any manner, without compensation to you.

12. Privacy and Data

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

For Organizations subject to GDPR or other data protection regulations, our Data Processing Agreement (DPA) governs OrgsLedger's processing of personal data on your behalf.

13. Third-Party Services and Links

13.1 Third-Party Integrations

The Service may integrate with or link to third-party websites, services, or applications. These integrations are provided for your convenience. OrgsLedger does not control and is not responsible for the content, privacy practices, or terms of any third-party service.

Your use of third-party services is governed by those services' respective terms of service and privacy policies. We encourage you to review those terms before using third-party integrations.

13.2 Key Third-Party Providers

14. Suspension and Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@orgsledger.com or through your account settings. Upon termination, your right to access the Service immediately ceases. We will handle your data in accordance with our Privacy Policy.

14.2 Suspension or Termination by OrgsLedger

We may suspend or terminate your access to the Service, with or without notice, if:

Upon termination: (a) your license to use the Service terminates immediately; (b) you must cease all use of the Service; and (c) provisions of these Terms that by their nature should survive will survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Following account termination, we will retain your data for up to 90 days to allow for recovery in case of inadvertent termination, after which it will be deleted in accordance with our Privacy Policy, unless a longer retention period is required by law.

15. Disclaimers and Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ORGSLEDGER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

OrgsLedger does not warrant that:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ORGSLEDGER, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ORGSLEDGER'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ORGSLEDGER IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, OrgsLedger's liability shall be limited to the maximum extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless OrgsLedger, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable attorneys' fees), and demands arising out of or in connection with:

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

18. Dispute Resolution

18.1 Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve the dispute informally by contacting us at legal@orgsledger.com. We will attempt to resolve the dispute within 30 days. If we cannot reach a resolution, either party may pursue formal resolution as described below.

18.2 Binding Arbitration

For users in jurisdictions where arbitration is enforceable, any unresolved dispute arising from or related to these Terms or the Service shall be resolved by final and binding arbitration. The arbitration shall be conducted by a recognized arbitration institution under its applicable rules. The arbitration shall be conducted in English.

18.3 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AND ORGSLEDGER EACH WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS-WIDE BASIS — THAT IS, TO EITHER JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON OR ENTITY, OR ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE IN ANY LAWSUIT, ARBITRATION, OR OTHER PROCEEDING.

18.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Nothing in this section prevents either party from seeking relief in a small claims court for disputes within that court's jurisdiction.

19. Governing Law

These Terms and any dispute arising from your use of the Service shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. For users in the European Union, mandatory consumer protection provisions of your country of residence may also apply.

20. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice by:
